An enterprise Master Services Agreement (MSA) for MarketMind AI must address strict corporate procurement requirements — specifically AI data governance, tenant isolation, IP assignment, and liability limits. The key clauses below form the foundation of our enterprise contracting framework.

Customer retains sole right, title, and interest in all data, prompts, schemas, and enterprise context submitted to MarketMind AI ("Customer Data").
MarketMind AI assigns to Customer all rights, title, and interest (including intellectual property) in all outputs, agent responses, and workflows generated by the platform.
MarketMind AI retains all rights to its underlying platform, orchestration engine, custom tool definitions, proprietary system prompts, and core software architecture.
MarketMind AI explicitly covenants that Customer Data, prompts, and outputs will never be used to train, retrain, fine-tune, or align any multi-tenant, public, or foundational AI models.
Provider warrants that all third-party foundation model APIs (e.g., Google Vertex AI) operate under enterprise contracts enforcing zero data retention for training purposes.
Provider will maintain strict schema-level logical isolation across all database environments (pgvector), memory stores, and context indexes to prevent cross-tenant data exposure.
Provider agrees to maintain SOC 2 compliance, enforce AES-256 encryption at rest, and mandate TLS 1.3 in transit across all microservice boundaries.
Provider guarantees the Monthly Uptime target defined in the Customer's Order Form (e.g., 99.5% Builder, 99.9% Scale, 99.95% Enterprise) for API endpoints and orchestration services, excluding communicated maintenance windows.
If service availability falls below the guaranteed threshold, Customer receives tiered credits applied directly against subsequent subscription invoices.
Provider will defend and indemnify Customer against third-party claims alleging that the underlying MarketMind AI platform or non-infringing generated outputs violate a third party's registered copyright or patent.
Customer acknowledges that AI agent outputs are statistical probabilistic outputs. Provider disclaims warranties regarding absolute factual correctness and recommends human validation for mission-critical decisions.
Upon termination, Customer has 30 days to export all workflows, vector embeddings, and operational logs.
Provider will permanently purge all Customer vector indexes, database records, and system backups within 30 days post-termination and deliver written certification of destruction upon request.
